1. Acceptance of Terms

Welcome to matie, the comprehensive travel app provided by AVAI INTERACTIVE PTE. LTD. ("Company", "we", "us", or "our"). By downloading, installing, registering for, or using any part of the matie mobile application, website, or related services (collectively, the "Services"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms", "Agreement") and our Privacy Policy, which is incorporated by reference into these Terms.

Your continued use of the Services following any modifications to these Terms constitutes your acceptance of such modifications.

2. Eligibility

To access and use the Services, you must:

• Be at least 16 years of age;
• Have the legal capacity to enter into a binding contract under applicable law;
• Comply with all applicable laws, regulations, and these Terms;
• Not be prohibited from using the Services under any applicable laws or regulations.

If you are under the age of 18, you must have the consent of a parent or legal guardian to use the Services, and such parent or legal guardian must agree to be bound by these Terms on your behalf. By using the Services, you represent and warrant that you meet all of the above eligibility requirements.

3. Account Registration and Management

3.1 Account Creation

To access certain features of the Services, you may need to create a user account. When creating an account, you agree to provide accurate, current, and complete information ("Registration Data") and to maintain and update your Registration Data to keep it accurate, current, and complete.

You may register for an account using your email address and password, or by using a third-party authentication service (e.g., Google, Apple ID). If you register using a third-party service, you agree to comply with that service's terms of service.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, unique password;
• Not share your account credentials with any third party;
• Notify us immediately of any unauthorized use of your account or any other security breach;
• Log out of your account at the end of each session.

We shall not be liable for any loss or damage arising from your failure to comply with these account security obligations.

3.3 Account Termination

You may terminate your account at any time by submitting a request through the App or by contacting us at support@matie.cc. Upon account termination, your access to the Services will be immediately revoked. We reserve the right to retain certain data as required by applicable laws or for legitimate business purposes, as outlined in our Privacy Policy.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download, install, and use the App on your personal mobile device;
• Access and use the Services for your personal, non-commercial purposes;
• View and use any content made available through the Services for your personal, non-commercial purposes.

This license does not include the right to:

• Modify, adapt, translate, reverse engineer, decompile, or disassemble the App;
• Distribute, sublicense, rent, lease, loan, or sell the App or Services;
• Use the App or Services for any commercial purpose without our prior written consent;
• Remove any proprietary notices or labels from the App or Services;
• Interfere with or disrupt the integrity or performance of the App or Services;
• Use any automated system, including but not limited to robots, crawlers, or scripts, to access the Services;
• Collect or harvest any information from the Services, including but not limited to user data or content;
• Use the Services in any way that violates applicable laws or regulations.

5. User Conduct

5.1 General Conduct

When using the Services, you agree to comply with all applicable laws, regulations, and these Terms. You shall not use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services.

5.2 Prohibited Activities

You shall not engage in any of the following activities when using the Services:

• Upload, post, transmit, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, invasive of privacy, or otherwise objectionable;
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Upload, post, transmit, or share any content that you do not have the right to make available under any law or under contractual or fiduciary relationships;
• Upload, post, transmit, or share any content that contains software viruses, worms, or any other malicious code;
• Collect or store personal data about other users without their explicit consent;
• Engage in any fraudulent, deceptive, or manipulative practices;
• Use the Services to promote or advertise any products or services without our prior written consent;
• Violate any applicable laws, regulations, or these Terms.

5.3 Enforcement

We reserve the right, in our sole discretion, to monitor, investigate, and take appropriate action against any user who violates these rules of conduct, including but not limited to:

• Removing or disabling access to content that violates these Terms;
• Issuing warnings to users;
• Suspending or terminating user accounts;
• Reporting violations to law enforcement authorities;
• Taking legal action to enforce our rights.

We have no obligation to monitor your use of the Services, but we may do so in order to comply with legal obligations, enforce these Terms, or protect the rights, property, or safety of the Company, users, or others.

6. App Content and Services

6.1 Services Overview

The matie App provides a range of travel-related services and features, including but not limited to:

• Travel notes recording and management;
• Overseas travel guides and recommendations;
• Local language translation for travel destinations;
• Foreign language learning resources for travel destinations;
• Travel community features (travel notes, photos, tips).

6.2 Content Accuracy

We strive to provide accurate, up-to-date information through the Services. However, we do not warrant or guarantee the accuracy, completeness, reliability, timeliness, or suitability of any content or information provided through the Services. You should independently verify any information before relying on it.

We reserve the right to modify, update, or remove any content from the Services at any time without notice.

6.3 Third-Party Services and Content

The Services may include links to third-party websites, services, or content, and may integrate with third-party applications or services ("Third-Party Services"). These Third-Party Services are provided by third-party entities, not by us.

When you use Third-Party Services through the App, you agree to be bound by the third party's terms and conditions, privacy policies, and any other applicable agreements. We do not endorse, guarantee, or assume responsibility for any Third-Party Services, products, or content. We are not liable for any damages or losses arising from your use of or reliance on Third-Party Services.

7. Intellectual Property Rights

7.1 Company Intellectual Property

All intellectual property rights in the Services, including but not limited to the App, website, software, algorithms, content, text, graphics, logos, images, audio, video, data, and any other materials (collectively, "Company IP") are owned by the Company or its licensors.

You may not use, reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of any Company IP without our prior written consent.

7.2 User-Generated Content

The Services may allow you to submit, upload, post, or share content, including but not limited to reviews, photos, comments, travel tips, and other materials ("User Content").

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, adapt, translate, display, and perform the User Content in connection with the Services and our business, including for promotional and marketing purposes.

You represent and warrant that:

• You own or have the necessary rights to grant the license above;
• Your User Content does not violate any applicable laws or regulations;
• Your User Content does not infringe upon the intellectual property rights or other rights of any third party;
• Your User Content is not defamatory, obscene, harassing, threatening, or otherwise objectionable;
• You have obtained all necessary consents for any third parties depicted or mentioned in your User Content.

We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

9. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS;
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE;
• ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED;
• THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
• THE CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, COMPLETE, OR RELIABLE.

The Company is not responsible for any delays, failures, or interruptions in the Services caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet service provider failures, and acts of war or terrorism.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID (IF ANY) TO USE THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS AND DISCLAIMERS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• Your access to or use of the Services;
• Your violation of these Terms;
• Your violation of any applicable laws or regulations;
• Your User Content;
• Your negligence or willful misconduct;
• Any third-party claim that your use of the Services infringes upon or violates any rights of a third party.

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with the Company in asserting any available defenses.

12. Termination

12.1 Termination by You

You may terminate your account and these Terms at any time by submitting a request through the App or by contacting us at support@matie.cc.

12.2 Termination by the Company

We may terminate or suspend your access to the Services, in whole or in part, at any time, with or without notice, for any reason, including but not limited to:

• Your violation of these Terms;
• Your failure to pay any applicable fees;
• Suspicious or fraudulent activity;
• A request from law enforcement or other government agency;
• Technical or security issues;
• Discontinuation of the Services or any part thereof;
• Any other reason in our sole discretion.

12.3 Effects of Termination

Upon termination of your account or these Terms:

• Your access to the Services will be immediately revoked;
• You will no longer be able to use your account or access any User Content;
• All licenses granted to you under these Terms will terminate;
• We may delete your account and associated data, except as required by applicable law.

Sections 7, 9, 10, 11, 13, 14, 15, and 16 of these Terms shall survive termination.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved as follows:

1. Informal Resolution: The parties shall first attempt to resolve the dispute through good faith negotiations. You must send a written notice of the dispute to support@matie.cc, and we will respond within 30 days.
2. Mediation: If the dispute cannot be resolved through negotiations, the parties may attempt to resolve the dispute through mediation conducted by a neutral third party.
3. Arbitration or Litigation: If mediation is unsuccessful, the dispute shall be submitted to the courts of Shenzhen, China for resolution.

You agree to submit to the exclusive jurisdiction of the courts of Shenzhen, China for any dispute arising out of or related to these Terms or the Services.

14. Changes to These Terms

We reserve the right to update, modify, or revise these Terms at any time. When we make changes to these Terms, we will update the "Last Updated" date at the top of this page and may provide notice to you through the App, via email, or by other means.

Your continued use of the Services after the changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services immediately.

15. General Provisions

15.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding the Services, superseding any prior agreements or understandings, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. No failure or delay by the Company in exercising any right under these Terms shall be deemed a waiver of that right.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms or any rights or obligations under these Terms without your consent, including but not limited to in connection with a merger, acquisition, or sale of assets.

15.5 Notices

Any notices or communications required or permitted under these Terms shall be sent to us at support@matie.cc. We may send notices to you through the App, via email, or by other means.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, strikes, lockouts, or equipment failures.

15.7 Export Control

You agree to comply with all applicable export control laws and regulations in your use of the Services. You shall not use the Services in any manner that violates these laws or regulations.

15.8 Relationship of the Parties

These Terms do not create a partnership, joint venture, agency, or employment relationship between you and the Company.
